Mr Jeffrey Cheung specialises in investment funds and private equity investments. He is experienced in the structuring and formation of offshore investment funds and has acted for a number of investment funds in their fund raising from private and institutional investors. Most of Mr Cheung’s investment fund clients are private equity funds with a China focus and he acts for these clients in the establishment, fundraising, restructuring and exit of their private equity investments in China.

Mr Cheung also works on corporate and commercial transactional and advisory matters, including mergers and acquisitions, corporate and corporate finance, securitisation, banking and finance and other related commercial and corporate matters.

Mr Cheung’s key deals and projects include advising an investment company on a proposed listing on the Official List of the London Stock Exchange under Chapter 15 of the Listing Rules, and the subsequent closing on a private arrangement basis for the co-management of US$300 million in private equity investments in China. He also acted for Yangtze China Investment Limited in its admission to trading on AIM of the London Stock Exchange.

Mr Cheung advised one of the leading wireless broadband operators in China on its US$104 million fund raising through the issue of series B preferred shares to a syndicate of institutional investors from Japan, US and Germany. He also advised a leading international distributor of consumer electronic and leisure products based in the UK on its £51.5 million sale of their leisure division to a private equity investment group based in the UK.

Mr Cheung acted as Hong Kong legal counsel to the founder of a company that operates one of the largest online entertainment portals in China in its US$94 million fund raising from a syndicate of institutional investors from Japan, Singapore and Hong Kong.

Mr Cheung advised three investment funds based in the US, Kuwait and Hong Kong on their US$38 million investment by way of convertible preferred shares in a leading GPS technology and auto electronics company in China. He also advised a Chinese-Italian private equity investment fund, in a co-investment arrangement with four other institutional investors, on the acquisition of a leading concrete equipment manufacturer in Europe.
